These Disclaimers apply to the Priime websites, interfaces, software, and all related materials (the "Materials"). They form part of, and should be read with, the Terms of Service at https://priime.finance/terms and the Privacy Policy at https://priime.finance/privacy. Priime provides non-custodial automation software only and does not hold or control your assets.
1. Informational Purposes Only; No Advice
The Materials are provided for general informational and technical purposes only. Nothing in the Materials constitutes, or should be construed as, financial, investment, or trading advice; legal, tax, accounting, or regulatory advice; or a recommendation, solicitation, or endorsement of any digital asset, strategy, or transaction. The Materials are not personalized to your circumstances. You should not rely on the Materials as the basis for any financial or technological decision, and you should do your own research and consult your own advisers. You interact with the software and with blockchain networks at your own initiative and at your own risk.
2. Nature of the Priime Software
Priime designs and makes available automation software and interfaces that let you interact, through your own wallet, with self-executing smart contracts that run pre-defined, rules-based strategy logic on public blockchains. Priime does not operate, control, or manage the blockchain networks on which those contracts are deployed, does not control how the contracts are used once deployed, and is not a counterparty or intermediary to any transaction you enter into. Portions of the software are open source and may be used, forked, or built on by others.
3. No Custody of Digital Assets
Priime does not hold, custody, manage, or control your digital assets at any time. You interact with blockchain networks and smart contracts directly through your own wallet and private keys. You are solely responsible for safeguarding your wallet, devices, and private keys. Priime cannot recover lost keys or assets, and the loss of your keys may result in the permanent and irreversible loss of your digital assets. Execution of a strategy is automated by distributed operators that can only trigger the actions a contract is pre-programmed to allow and cannot redirect your assets to Priime or to an arbitrary third party.
4. Risks of Digital Assets and DeFi
Using digital assets and decentralized finance involves significant risk, including the risk of losing some or all of the value of your assets. These risks include, without limitation:
- Smart-contract vulnerabilities, bugs, and unforeseen interactions.
- Extreme price volatility and liquidity risk.
- The risks of leverage, including liquidation and total loss.
- Impermanent loss, which hedging is designed to reduce but does not eliminate.
- Stablecoin depeg, oracle failure or manipulation, and bridge or cross-chain messaging failure.
- Blockchain network failure, congestion, forks, and reorganizations.
- Unavailability or failure of distributed operators or the absence of a signing quorum.
- Failures or changes in third-party protocols and venues that a strategy depends on.
- Regulatory uncertainty and changes in law, regulation, or policy.
Transactions on blockchain networks are generally irreversible. You may lose part or all of your digital assets, and you should only commit assets you can afford to lose entirely.
5. Performance, Yield, and Forward-Looking Statements
Any figure for annual percentage yield (APY) or other yield or performance, and any illustrative figure, chart, or dashboard, is variable and is historical or hypothetical. It is not a promise, forecast, or guarantee, and actual results may be lower, zero, or negative. Descriptions such as "delta-neutral", "no impermanent loss", "no liquidation in reach", "monitored every block", "de-risks", and "redeemable any time" describe how the software is designed to attempt to operate; they are objectives and best-efforts behaviors, not assured outcomes, and are qualified in full in the Terms of Service. The Materials may contain forward-looking statements that are inherently uncertain and should not be relied upon as guarantees. Simulated or illustrative data shown in the interface is not a representation of your actual position.
6. Automated Execution and Distributed Operators
Certain actions within a strategy, such as rebalancing, hedging, and deleveraging, are executed automatically by a set of distributed operators using verifiable compute, which must reach a signing quorum before a contract settles a state transition. The operators execute pre-defined logic and do not exercise investment discretion over your assets. The timing, success, and completion of any automated action depend on operator and network availability and are not guaranteed. Administrative functions such as upgrades, parameter changes, and pausing are designed to be controlled by a multi-signature wallet subject to a timelock; those controls may affect the operation, risk profile, or availability of a strategy.
7. Third Parties and Interfaces
The Materials and the software rely on third-party blockchain networks, protocols, bridges, oracles, lending venues, decentralized exchanges, wallets, and data sources that operate independently of Priime and that Priime does not develop, operate, or control. Priime does not guarantee the security, reliability, or accuracy of any third party and does not endorse or recommend any of them, and the inclusion of any third party in a strategy is not a recommendation of it. Where you access the software through an interface that Priime does not operate, any terms applicable to that interface are between you and its provider. While Priime strives for accuracy, it cannot guarantee that data and information provided are complete or precise.
8. Restricted Territories and Eligibility
The Services are not offered to, and may not be used by, any person who is located in, a citizen or resident of, or incorporated or with a registered office in a Restricted Territory, or who is the subject of sanctions or appears on any sanctions or prohibited-party list. Restricted Territories include, but are not limited to, Cuba, Belarus, the Crimea, Donetsk, and Luhansk regions, Iran, North Korea, Russia, Syria, and any jurisdiction subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the United Nations, the European Union, or His Majesty's Treasury. Certain strategies, including leveraged strategies such as Priime Loop, are further restricted by user class and jurisdiction. Using a virtual private network or other technique to circumvent these restrictions is prohibited. Priime may apply access, screening, and circumvention controls to enforce these restrictions.
9. No Warranty and Limitation of Liability
The Materials and the software are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Use of the Materials or the software does not create any partnership, agency, fiduciary, or advisory relationship between you and Priime. To the maximum extent permitted by law, neither Priime nor its affiliates or contributors will be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive loss or damage arising out of or relating to the Materials, the software, or the strategies. 10. Regulatory Considerations
Priime provides software and technology only and is not a financial institution. Priime does not intend to act as, and does not believe its software-provision role requires it to register or be authorized as, an investment adviser, broker, fund, pooled investment vehicle, collective investment scheme, money services business, money transmitter, e-money issuer, custodian, or virtual asset service provider. The regulatory treatment of digital assets and of non-custodial software is evolving and varies by jurisdiction; nothing in the Materials is a representation that any particular regulatory characterization will apply. You are responsible for determining whether your use of the Services is lawful where you are.
11. No Offer; Tokens and Digital Assets
Nothing in the Materials is, or should be construed as, an offer, solicitation, or recommendation to buy, sell, or hold any security, token, digital asset, or financial instrument, or to enter into any transaction. Priime does not currently offer, sell, or distribute any token to the public.
If Priime, or an affiliated or successor entity, introduces a token in the future, any such token would be intended to support the use and governance of the Priime protocol. It would not represent any equity, debt, deposit, or ownership interest in Priime; any share of profits, revenue, or fees; any dividend, distribution, or interest payment; or any right to capital or to proceeds on a liquidation. Any such token would not be offered as an investment, would carry no expectation of profit derived from the efforts of Priime or of any other person, and may have no monetary value.
The legal and regulatory treatment of tokens and other digital assets is uncertain and differs by jurisdiction. Any future token, and any mechanism associated with it, would be made available, if at all, only under separate terms, only where lawful, and with the details published at that time. Nothing in the Materials is a commitment to issue any token or to implement any particular mechanism.
